Nvidia handed the AI build-out to private credit. The market spent Tuesday paying up for the fee collectors and selling the risk holders — on the same headline, in the same hour. That split is the whole trade.
On Monday Nvidia signed MOUs with Apollo, BlackRock, Blackstone, Brookfield, Goldman Sachs and KKR to build compute-financing platforms targeting over $500 billion of third-party capital, and agreed to backstop up to 25% of the residual value of its own chips in each transaction (Nvidia press release, Aug 10). Today the market voted, and it did not vote the way the headline reads. APO +5.98%, KKR +5.55%, BAM +4.07%, OWL +3.86%, ARES +3.61%, BX +3.56% — while the two names that actually hold AI-datacenter credit risk went the other way: ORCL −4.06% and Corebridge (CRBG) −3.42%. NVDA itself managed +0.44%.
That is not a risk-on AI tape. That is a repricing of who gets paid a fee and who gets handed a residual. Three of the six partners alone manage $3.35 trillion (Apollo $1.05T as of 6/30/26, Blackstone $1.3T+, Brookfield $1T+, per the release). The equity market has capitalised their origination fees in one session. It has capitalised none of the residual-value risk that will sit, eighteen months from now, inside annuity and pension portfolios.
My highest-conviction call: own the consortium members that collect the fee and never own the paper (BX, BAM); fade the ones that warehouse it on an owned insurance balance sheet after a 6% one-day pop (APO, KKR). That is the opposite of today's tape, and the mechanism is not a matter of opinion: Apollo owns Athene, KKR owns Global Atlantic. Blackstone and Brookfield manage insurance money; they do not own the liabilities behind it.
Strip the language and the mechanics are simple, and they are borrowed wholesale from aircraft and commercial real estate finance. Instead of a hyperscaler or a neocloud paying cash for GPUs, power and shell, the borrower puts the hardware plus a signed offtake contract into a ring-fenced entity and borrows against it. The six managers raise the money from pensions, insurers and money-market-adjacent institutional cash. The platform collects a long-duration, usage-linked coupon. Nvidia gets its hardware paid for without the receivable on its own balance sheet.

Do the division, because nobody on the panel did. $500B at $55B per gigawatt buys roughly 9 gigawatts of AI factory. Against Fink's own 70 GW US requirement, the largest coordinated financing package in the history of the technology industry covers about 13% of the domestic need. Morgan Stanley's estimate that tech and related parties may need to raise up to $800B of private credit through asset-specific structures by 2028, and JLL's ~$3T of five-year datacenter investment, say the same thing: this is not the ceiling, it is the template. Expect five more of these.
Everyone is arguing about GPU lifespan. That argument is unresolvable today and therefore useless as a trade. The resolvable number is the price of the money, and it has collapsed faster than any credit market I can name.

The collateral did not improve. The price of money fell 175bp in eight months and roughly 1,275bp in under three years. S&P held a hard A+ ceiling on datacenter ABS until 2025 purely on track-record grounds; once that ceiling came off and the first A-range marks printed, an entirely different buyer base was unlocked — insurers and pensions, which are largely prohibited by their own mandates from holding sub-investment-grade paper. The rating, not the chip, is what created this market.
Here is the consequence with a dollar sign on it. Every 100bp of spread on a fully deployed $500B platform is $5B a year of incremental interest cost to the AI ecosystem. A re-widening of just 175bp — back to where the identical collateral priced in July 2025, thirteen months ago — costs $8.75B a year and pushes marginal neocloud projects underwater at any plausible target IRR. The binding constraint on AI capex is no longer hyperscaler free cash flow. It is a credit spread. That is the single most important structural change in the AI trade this year and it happened on Monday afternoon.
The bear case has a name and a number. Michael Burry's claim is that hyperscalers depreciating GPUs over five to six years against a two-to-three-year real economic life understates depreciation by roughly $176B between 2026 and 2028 — about $58.7B a year, and materially larger than Nvidia's entire maximum residual backstop of $125B (25% × $500B).
Huang's rebuttal is not hand-waving; it is priced evidence. One-year H100 contracts went from $1.70/GPU-hour in October 2025 to $2.35 in March 2026 (+38%), B200 capacity runs $5.30–$7.05, and 2020-vintage A100s are still earning revenue six years in. Used H100 systems in year three have transacted at roughly 45% of new-unit cost.
And the buyers themselves cannot agree. Meta lengthened assumed server life to 5.5 years in FY2025, cutting depreciation expense ~$2.9B in one year. Amazon went the other way in the same window, shortening part of its fleet from six years to five and taking ~$920M of accelerated depreciation, citing the pace of AI development. Two of the largest buyers of identical hardware reached opposite conclusions. A lender has to pick a side of that argument whether it wants to or not.
Here is what makes this genuinely uncomfortable rather than merely interesting. The asset class being handed the AI residual is already running record defaults in its day job.
Fitch's U.S. Private Credit Default Rate sits at 6.0% for the TTM ending May 2026 — unchanged from April, which was the highest since inception in August 2024 (Fitch, June 15 2026). Reading the actual release rather than the headline is where it gets ugly:

Second-order effect nobody is pricing: private credit is bifurcating, and this deal accelerates it. Tech software defaults at 2.2%; sub-$25M-EBITDA industrials default at 11.5%. When $500B of institutional appetite gets pointed at A-rated compute paper, it does not get pointed at middle-market direct lending. So AI-infra spreads tighten while middle-market spreads widen — which is exactly the dispersion already visible in the Fitch table. Two markets, one label.
The official sector has said this out loud. The Bank of England's July 2026 Financial Stability Report called the pace historically unprecedented, warned a shock to highly leveraged AI companies could ripple into global financing conditions, and noted that banks and private credit firms have limited visibility into their own indirect exposure. The FSB published a dedicated Report on Vulnerabilities in Private Credit on May 6. Larry Fink's own framing on CNBC was not reassuring if you take it literally: "This is the very beginning, like what it was when I started in the mortgage-backed securities market in the 1970s."

The tape's verdict, stated plainly: the market bought the toll booth and sold the toll payer. ORCL −4% and CRBG −3.4% against APO +6% on identical news is not noise; it is the correct instinct expressed in the wrong sizes. And LQD/JNK/HYG moving less than 20bp tells you the credit market itself has not yet priced either the opportunity or the risk. That is where the asymmetry lives.
Read Huang's own criteria for what makes compute financeable: broadly adopted, runs every model, fungible and transferable across customers and operators, ecosystem of offtakers on CUDA, and — critically — borrowers must use system architectures Nvidia specifies so a replacement operator can take over. Every one of those attributes is, by construction, something a custom hyperscaler ASIC does not have. A Trainium or TPU fleet is not fungible across tenants and has no third-party offtake market. The result is that Nvidia hardware can be financed at A3 and competitor silicon cannot. That is a more durable moat than any benchmark win, and it is a direct negative for AMD's neocloud TAM that nobody put in a model today. Consequence #1: the cost-of-capital gap becomes a bigger switching barrier than the performance gap. Consequence #2: Nvidia has effectively appointed itself the ratings agency of AI compute.
Twelve months ago Nvidia's forward revenue was a function of hyperscaler free cash flow. From Monday it is a function of the spread on GPU-backed paper. Hyperscaler capex is running >$690B this fiscal year, up over 80%, with debt's share of that capex rising from roughly 9% in 2024 to about 32% by mid-2026. Consequence: with the 10-year around 4.60% and our house line at 4.90% for AI-multiple compression, a rates shock now hits Nvidia's order book, not just its multiple. Anyone modelling NVDA without a spread assumption is modelling the wrong company.
A-rated ⇒ NAIC-eligible ⇒ annuity and pension portfolios. Fink said explicitly that BlackRock will be "talking to pension funds." The March CoreWeave deal was anchored by Blackstone's credit and insurance arm alongside insurance investors. Consequence: the next AI drawdown transmits into retirement products and state pension funding ratios rather than staying inside tech equity — and state insurance regulators and the NAIC become participants in the AI capex cycle. CRBG −3.4% today is the first tick of that transmission channel opening.
Up to 25% × $500B = $125B of contingent notional. At even a 10% realised loss on the guaranteed slice that is ~$12.5B of future charges. Consequence: Nvidia's gross margin optics stay pristine while an off-P&L liability compounds, which is precisely the accounting structure that made Lucent and Nortel comparisons stick in the first place. Wells Fargo's traders called it "depreciation insurance." They are right, and insurance underwriters book premiums up front and losses late.
Eleven months ago Nvidia announced up to $100B into OpenAI for 10GW. That investment never materialised in that form; $30B went in via the March funding round instead. Monday's package is signed MOUs with no contracts, no coupons and no named borrowers. Consequence: there is a live path where this is a press release that re-rated $3T of AUM by 4–6% in one session and produces nothing signed before Q4.

Long OBDC on weakness: entry $11.00–$11.35 (last 11.66); target $12.90; invalidation daily close below $10.50; timeframe 1–3 months. Q2 restored ~116% dividend coverage after a 16% dividend cut, 10.7% yield, forward P/E ~9.1x, and it beat on Q2 EPS. That is a repaired balance sheet at a discount.
Avoid / short FSK: entry (short) $12.25–$12.90; target $10.75; invalidation daily close above $13.30; timeframe 1–3 months. The bull case is a ~35–42% NAV discount and a 14.4% yield. The facts underneath: non-accruals 3.8%, dividend coverage ~100% with zero cushion, TTM EPS −$1.34, revenue −20.1% y/y, ROE −6.7%, and three-year EPS growth of −50.6%. Against a Fitch backdrop where 52% of private credit default events are PIK-in-lieu-of-cash, "100% coverage" is a rounding error away from another reset. A 40% discount to a NAV that is still eroding is not value.
Risk, quantified: BDCs are yield instruments; a dovish CPI print tomorrow squeezes the entire complex 3–5% regardless of credit quality, which hurts the FSK short. Keep it small and paired against the OBDC long.
Nvidia did not solve the AI funding problem on Monday; it relocated it. By recruiting six managers running north of $3.3 trillion to underwrite compute as an asset class — and by capping its own exposure at an optional 25% residual guarantee — it converted a balance-sheet problem for the world's most profitable company into a spread problem for pension and insurance capital. The AI capex cycle is now governed by the coupon on GPU-backed paper rather than by hyperscaler free cash flow, and that coupon has already compressed roughly 1,275bp in under three years against collateral that did not improve by a single basis point of quality. The equity market spent Tuesday capitalising the fee and ignoring the residual: APO +6%, KKR +5.5%, BX +3.6% while ORCL fell 4% and Corebridge fell 3.4%. Own the fee collectors that never hold the paper (BX, BAM), fade the balance-sheet owners into strength (APO, KKR), short the borrowers the market is already downgrading (ORCL), and refuse to buy a 40% NAV discount on a BDC whose NAV is still eroding (FSK) in a market where Fitch says 6.0% of private credit is defaulting and more than half of those defaults are cash interest quietly turning into paper.
